A formal engagement for cybersecurity services begins only after a mutually agreed-upon proposal, statement of work (SOW), authorization, commercial terms, and rules of engagement are executed in writing by both parties.
3. Authorized Testing Only
NYOXA LABS performs security testing exclusively on systems for which the requester provides explicit, written confirmation of authorization. We reserve the right to decline any request where authorization is unclear, insufficient, or cannot be verified.
4. No Guarantee of Security
Cybersecurity assessments are designed to identify vulnerabilities and reduce risk based on the scope and conditions at the time of testing. However, you acknowledge and agree that no assessment can guarantee complete security, breach prevention, or the discovery of every vulnerability. NYOXA LABS does not warrant that its services will render your systems impenetrable.
5. Reports and Deliverables
Reports and deliverables are prepared based on the agreed scope, assessment window, available access, and observed conditions at the time of testing. These deliverables are provided "as is" without any warranties, express or implied, regarding their completeness or fitness for a particular purpose beyond the agreed scope.
6. Client Responsibilities
Clients engaging NYOXA LABS for services are responsible for:
- Confirming and providing proof of authorization for all in-scope systems.
- Providing accurate and complete scope details.
- Supplying necessary test accounts, credentials, or access where required.
- Maintaining current and comprehensive backups of all systems and data prior to and during testing.
- Reviewing and implementing remediation guidance provided in reports.
- Promptly informing NYOXA LABS of any restrictions, sensitive systems, or operational concerns.
7. Intellectual Property
All website content, branding, templates, methodologies, and report formats belong to NYOXA LABS unless otherwise stated. Client-owned data, systems, and proprietary information remain the exclusive property of the client.
8. Limitation of Liability
To the maximum extent permitted by applicable law, NYOXA LABS, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the website.
- Any conduct or content of any third party on the website.
- Any content obtained from the website.
- Unauthorized access, use, or alteration of your transmissions or content.
In no event shall NYOXA LABS' aggregate liability for all claims relating to the services exceed the amount paid by you to NYOXA LABS for the specific services giving rise to the claim.

10. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NYOXA LABS is registered, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the services provided shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration body, rather than in court.
11. Force Majeure
NYOXA LABS shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or interruptions in telecommunications or internet services.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
